Terms of Service

Agreement and operator

These Terms of Service form a binding agreement between the user and Tucloud, the operator of tucloud.app, the Tucloud Dashboard, Kuro, cloud hosting, domain, deployment, email, and related services. Tucloud is based in Puerto Plata, Dominican Republic.

By creating an account, purchasing a service, clicking to accept, or using the services, you agree to these Terms and the policies incorporated by reference. Electronic acceptance and records may be used as evidence of the agreement as permitted by Dominican Republic Law No. 126-02 and other applicable law.

Eligibility and accounts

You must be legally capable of entering a binding agreement. If you use Tucloud for an organization, you represent that you have authority to bind that organization. You must provide accurate information and keep it current.

You are responsible for account activity, authentication credentials, connected Google and GitHub accounts, API keys, environment variables, and users acting through your account. Notify us promptly of suspected unauthorized access.

Services and third parties

Service features and limits depend on the selected plan and may include hosting, deployment, domains, DNS, TLS certificates, email, databases, source repository integrations, usage monitoring, and AI generation. We may modify features to improve security, reliability, or compliance, provided we do not materially reduce a paid service during its current billing period without a reasonable remedy.

Some features depend on third-party services such as Supabase, Google, GitHub, Stripe, PayPal, DomainNameAPI, certificate authorities, and AI providers. Your use of those integrations may also be subject to their terms. Tucloud is not responsible for third-party services outside its reasonable control.

Plans, billing, and taxes

Paid subscriptions are billed at the price, currency, interval, and renewal terms shown at checkout. You authorize the selected payment provider to charge applicable fees and taxes. Prices may change for future billing periods after reasonable notice.

Subscriptions may renew automatically until canceled. Failure or reversal of payment may result in a past-due status, suspension, downgrade, or termination. The Billing, Cancellation, and Refund Policy forms part of these Terms.

Customer content and instructions

You retain ownership of websites, code, prompts, files, databases, communications, and other content you submit or host, subject to third-party rights. You grant Tucloud a limited, non-exclusive license to host, copy, transmit, process, display, back up, and modify technical formats of that content only as necessary to provide, secure, support, and comply with law in relation to the services.

You represent that you have the rights and lawful basis needed for your content and instructions. You are responsible for notices, consent, privacy compliance, accessibility, security, and legal obligations relating to your websites and their visitors.

Hosting, deployments, and backups

You are responsible for reviewing build commands, dependencies, generated workflows, environment variables, deployments, and application behavior. Tucloud may apply technical limits and isolation controls to protect shared infrastructure.

Tucloud may create operational backups, but they are not a substitute for your own backups. You must maintain independent copies of important content and data. Free services do not include an uptime or recovery commitment unless explicitly stated otherwise.

Kuro and AI features

AI-generated plans, text, code, and designs may be inaccurate, insecure, incomplete, biased, or similar to third-party material. You must review and test output before using or publishing it. Kuro is not a substitute for legal, financial, medical, security, or other professional advice.

The AI Product Terms apply to all Kuro and AI-assisted features and are incorporated into these Terms.

Acceptable use and enforcement

You must comply with the Acceptable Use Policy. We may investigate suspected abuse and remove, quarantine, block, or preserve content where reasonably necessary to protect users, infrastructure, or third parties.

We may suspend or terminate access immediately for material security threats, fraud, phishing, malware, child sexual abuse material, sanctions violations, repeated infringement, deliberate evasion, or conduct likely to cause serious harm. For other violations, we will generally provide notice and a reasonable opportunity to cure when circumstances permit.

Intellectual property

Tucloud and its licensors retain all rights in the services, software, interfaces, documentation, trademarks, and platform technology. These Terms grant only a limited, revocable, non-transferable right to use the services during the applicable service period.

If you provide feedback, you permit Tucloud to use it without restriction or compensation, provided it does not identify you or disclose your confidential information without permission.

Confidentiality and security

Each party will use reasonable care to protect the other's non-public confidential information and will use it only for the relationship. Confidential information does not include information independently developed, lawfully received without restriction, or made public without breach.

You must not submit secrets or sensitive regulated data to Kuro. Environment variables stored through the Dashboard are intended for application secrets, but you remain responsible for limiting access, rotating credentials, and removing secrets that are no longer needed.

Suspension, termination, and export

You may stop using the services and cancel future renewals at any time. We may suspend or terminate an account for non-payment, material breach, legal requirement, security risk, or discontinuation of a service.

Where feasible and lawful, we will provide notice and an opportunity to export customer content before termination. Immediate termination for serious abuse may result in content becoming unavailable without a prior export period. Provisions that by nature should survive termination will remain effective.

Disclaimers

To the maximum extent permitted by law, the services are provided on an 'as is' and 'as available' basis. Tucloud disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot lawfully be excluded under Law No. 358-05 of the Dominican Republic or other applicable mandatory law.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or data, arising from the services.

Tucloud's aggregate liability for a paid service will not exceed the fees paid for the affected service during the 12 months before the event giving rise to the claim. For a free service, aggregate liability will not exceed USD 50. These limits do not apply to fraud, willful misconduct, personal injury caused by negligence, or liability that cannot be limited by law.

Indemnity

To the extent permitted by law, you will defend and indemnify Tucloud against third-party claims arising from your content, your hosted services, your violation of law or third-party rights, or your material breach of these Terms. Tucloud will provide prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits liability or imposes obligations on Tucloud without consent.

Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, widespread network failures, war, civil unrest, labor disputes, epidemics, governmental action, upstream provider failure, or catastrophic hardware events. Payment obligations already incurred are not excused.

Governing law and disputes

These Terms are governed by the laws of the Dominican Republic, without regard to conflict-of-law rules. Before filing a claim, the parties will attempt in good faith for 30 days to resolve it through written notice sent to the other party.

Subject to mandatory consumer rights and any authority of Pro Consumidor or another competent regulator, disputes will be submitted to the competent courts of Puerto Plata, Dominican Republic.

Changes and contact

We may update these Terms for legal, security, operational, or service changes. Material changes will be announced in advance when reasonably possible. Continued use after the effective date constitutes acceptance to the extent permitted by law. Legal notices may be sent to legal@tucloud.app.
